PortBay Terms of Service

These Terms govern the PortBay Cloud service — the optional hosted accounts, license, and multi-device sync. They do not restrict the PortBay desktop application itself, which is open-source under the GNU Affero General Public License v3.0 only (AGPL-3.0-only); your rights to the software are governed by that license, not by these Terms.
1. The service
PortBay is a local development environment manager. PortBay Cloud is an optional layer that provides account sign-in, the Pro entitlement, and encrypted multi-device sync. You can use PortBay fully without ever accepting these Terms (the anonymous tier).
By creating an account or using PortBay Cloud you agree to these Terms.
2. Tiers
- Anonymous — no account, up to 3 projects, free.
- Free — a free account (GitHub or email), up to 6 projects.
- Pro — unlimited projects plus sync and other Pro features (see the Pro docs). Pro is a paid monthly subscription (see §5). We may also grant Pro for a merged, non-trivial contribution.
We may adjust tier limits or features prospectively; changes never delete your existing projects or data.
3. Eligibility & accounts
You must be able to form a binding contract in your jurisdiction. You are responsible for activity under your account and for keeping your sign-in method secure. One account per person/identity; don't impersonate others.
4. Acceptable use
Don't: abuse the API (excessive automated requests), attempt to forge or tamper with license entitlements, upload unlawful content, attempt to gain unauthorized access, or use the service to harm others. We may rate-limit, suspend, or revoke accounts that do.
5. Subscriptions, billing & contributions
- Pro is a recurring subscription. Pro is sold as a monthly subscription at the price shown at checkout (currently US$10 per month). Unless you cancel, your subscription renews automatically each month and the payment method you provided is charged the then-current renewal price. We will notify you in advance of any price increase.
- Free trial. New subscriptions may include a free trial (currently 7 days), as shown at checkout. Your payment method is charged when the trial ends unless you cancel before then; cancelling during the trial costs nothing.
- Paddle is the Merchant of Record. Purchases are processed by our reseller Paddle (paddle.com), which acts as Merchant of Record: your purchase contract for the transaction is with Paddle, Paddle handles payment, applicable taxes, invoices, and refunds, and Paddle's buyer terms apply to the transaction. Your card details never reach our systems.
- Cancellation. You can cancel at any time — in the app under Settings → Account → Billing → Manage billing, via the subscription-management link in your Paddle receipt emails, or by emailing legal@portbay.app. Cancellation stops the next renewal; Pro stays active until the end of the period you have already paid for. No further charges are made after cancellation.
- Refunds & withdrawal. Refund requests are handled by Paddle. If you are a consumer in the EU/EEA or UK, you have a statutory 14-day right of withdrawal from the purchase; contact Paddle or legal@portbay.app within that window. A refunded purchase results in the corresponding Pro entitlement being revoked.
- Buying Pro is not buying the software. The PortBay application is free software under AGPL-3.0-only; the subscription pays for the hosted Pro services and supports the project.
- Contributions: a merged, non-trivial pull request may be granted Pro. Reverted or bad-faith contributions may have the entitlement revoked.
- Earlier grants. Pro entitlements granted before subscription billing launched (e.g. for donations or contributions) keep the terms under which they were granted.
6. Revocation & downgrade
We may revoke a Pro entitlement for refund, reverted contribution, or abuse. A downgrade or revocation never deletes or disables your existing projects or data — it only blocks new gated actions. A previously-signed-in Pro user retains offline access during a grace window (see the entitlement spec).
7. Your content
You retain all rights to your projects and synced data. You grant us only the limited right to store and transmit your encrypted sync blob to provide the sync feature. We cannot read it. You are responsible for keeping your own backups; sync is a convenience, not a backup service.
8. Availability
PortBay Cloud is provided on a reasonable-effort basis with no uptime guarantee or SLA. Because PortBay is local-first, a Cloud outage does not stop the app from working on your machine (Pro continues offline within its grace window).
9. Disclaimers
THE SERVICE AND THE SOFTWARE ARE PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. (The AGPL-3.0 license's "Disclaimer of Warranty" and "Limitation of Liability" sections — §15 and §16 — govern the software.)
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TRIBAL HOUSE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST DATA OR PROFITS, ARISING FROM THE SERVICE. Nothing here limits liability that cannot be limited by law (e.g. for death, personal injury, or fraud). Where mandatory consumer-protection law applies, your statutory rights are unaffected.
11. Applicable law
These Terms do not displace the mandatory laws or consumer protections of your country of residence — including, for EU/EEA consumers, EU consumer law, and for UK consumers, UK consumer law. Purchases of Pro are contracts with Paddle as Merchant of Record and are governed by Paddle's buyer terms.
12. Termination
You may stop using the service and delete your account at any time (see the Privacy Policy for how). We may suspend or terminate accounts that violate these Terms. The disclaimers and liability limits survive termination.
13. Changes
We may update these Terms; material changes will be surfaced in-app and dated here. Continued use after an update constitutes acceptance.
